Sellexxa – Vendor Terms & Conditions

1. Introduction

These Vendor Terms & Conditions (“Agreement”) govern the relationship between Sellexxa (“we,” “our,” “the Platform”) and the individual or business registering as a seller or vendor (“you,” “your,” “Vendor”) on our website https://sellexxa.com.
By registering as a Vendor, you agree to comply with these terms.

2. Vendor Eligibility

To sell on Sellexxa, you must:

  • Be at least 18 years old or a legally registered business.

  • Provide accurate business and payment information.

  • Comply with all applicable laws and regulations.

3. Independent Contractor Relationship

Vendors are independent contractors.
This Agreement does not create an employer–employee, agency, or partnership relationship between Sellexxa and the Vendor.

4. Product Listings

  • Vendors are responsible for uploading accurate product descriptions, images, and prices.

  • Products must comply with all relevant laws and Sellexxa policies.

  • Prohibited items (e.g., illegal goods, counterfeit items, dangerous products) may not be listed.

5. Order Processing & Shipping

  • Vendors must process and ship orders promptly within the stated handling time.

  • Vendors are responsible for ensuring products are securely packaged and delivered to customers.

  • Tracking details must be provided when available.

6. Fees & Payments

  • Sellexxa charges a 20% commission on the total sale price (including shipping fees if applicable) for each order.

  • Vendors may request a withdrawal only when their account balance reaches at least 5,000 BDT.

  • Once the balance reaches 5,000 BDT or more, Vendors can request payout through [bank transfer / mobile banking / other method].

  • Payouts will be processed every [weekly/monthly] after a valid withdrawal request is made.

  • Vendors are responsible for paying any taxes arising from sales.

7. Quality & Customer Service

  • Products must be of merchantable quality and match descriptions provided.

  • Vendors must respond to customer inquiries and complaints promptly.

  • Refunds, returns, and exchanges must comply with Sellexxa’s policies.

8. Intellectual Property

  • Vendors warrant that they own or have the right to use all product images, descriptions, and trademarks.

  • Vendors grant Sellexxa a license to use product images and descriptions for marketing and promotional purposes.

9. Compliance with Laws

Vendors must:

  • Comply with all applicable consumer protection, product safety, tax, and import/export laws.

  • Not engage in fraudulent, deceptive, or misleading practices.

10. Account Suspension & Termination

Sellexxa may suspend or terminate a Vendor account if:

  • The Vendor breaches these terms.

  • The Vendor sells prohibited items.

  • The Vendor receives excessive customer complaints or negative feedback.

11. Limitation of Liability

Sellexxa provides the platform “as is” and is not responsible for:

  • The quality, legality, or safety of products sold by Vendors.

  • Any direct or indirect losses arising from Vendor sales.
    Our liability to Vendors is limited to the total fees paid by the Vendor to Sellexxa in the previous three (3) months.

12. Indemnification

Vendors agree to indemnify and hold harmless Sellexxa from any claims, damages, losses, or expenses arising from:

  • Products sold through the platform.

  • Breach of these terms.

  • Violation of any laws.

13. Changes to These Terms

Sellexxa may update these terms from time to time. Continued use of the platform after changes take effect means you accept the updated terms.

14. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Bangladesh.

15. Acceptance

By clicking “I Agree” or by listing products on Sellexxa, you confirm that you have read, understood, and agree to these Vendor Terms & Conditions.

16. Marketplace Rules

Sellexxa connects buyers and sellers. We do not manufacture or control products sold through our platform.

Sellers are responsible for:

  • Ensuring product authenticity, legality, and safety.

  • Providing accurate listings and shipping items on time.

Buyers are responsible for:

  • Reviewing product details before purchasing.

  • Providing accurate delivery information.

17. Returns and Refunds

  • Return and refund policies may vary by seller. Buyers should review the seller’s return policy before purchasing.

  • In case of disputes, Sellexxa will assist in resolving the issue in accordance with our Buyer Protection Policy.

18. Modifications to Terms

We may update these Terms at any time. Changes will be posted on this page with the updated date. Continued use of Sellexxa after changes means you accept the revised Terms.

19. Governing Law

These Terms are governed by the laws of [Insert Country/State]. Any disputes arising under these Terms shall be resolved in the courts of [Insert Jurisdiction].
